{"id":13779,"date":"2025-06-26T12:01:09","date_gmt":"2025-06-26T15:01:09","guid":{"rendered":"http:\/\/rma.adv.br\/?p=13779"},"modified":"2025-08-28T12:14:38","modified_gmt":"2025-08-28T15:14:38","slug":"corporate-law-mergers-acquisitions","status":"publish","type":"post","link":"https:\/\/rma.adv.br\/en\/26\/06\/2025\/corporate-law-mergers-acquisitions\/","title":{"rendered":"CORPORATE LAW, MERGERS &amp; ACQUISITIONS"},"content":{"rendered":"\n<p>Our purpose is not to tire the reader, but merely to outline brief notes on M&amp;A (<em>Mergers and Acquisitions<\/em>).<\/p>\n\n\n\n<p>A <strong>merger<\/strong> is a corporate strategy in which two or more companies join together to form a new one, i.e., two or more companies cease to exist legally and form a new one\u2014with a new identity; whereas in an <strong>acquisition<\/strong>, one company buys the controlling interest in another.<\/p>\n\n\n\n<p>What are the reasons for companies to merge?<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Savings on production costs, for example, especially when competitors merge.<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Generation of capital and the possibility for companies to enter new markets or launch products, actions that would not be possible if the companies operated separately.<\/li>\n<\/ul>\n\n\n\n<p>Other reasons include:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>greater brand coverage;<\/li>\n\n\n\n<li>higher revenue;<\/li>\n\n\n\n<li>lower cost;<\/li>\n\n\n\n<li>lower market risk; and<\/li>\n\n\n\n<li>better operating conditions.<\/li>\n<\/ol>\n\n\n\n<p>Seven-step process:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>development of the implementation plan;<\/li>\n\n\n\n<li>company appraisal (benefits, risks, financial position);<\/li>\n\n\n\n<li>valuation;<\/li>\n\n\n\n<li>decision making;<\/li>\n\n\n\n<li>negotiation and structuring (agreeing on the price and structure of the transaction);<\/li>\n\n\n\n<li>due diligence (review of the company&#8217;s financial, legal, and operational position); and<\/li>\n\n\n\n<li>conclusion (final adjustments and execution of the agreement).<\/li>\n<\/ol>\n\n\n\n<p>Based on the concept that \u201cthe whole is greater than the sum of its parts,\u201d <strong>synergy<\/strong> is the word that denotes the idea of combining business activities, increasing performance, and reducing costs.<\/p>\n\n\n\n<p>Growth, diversification of products and services, and elimination of competition are some of the reasons why the M&amp;A process is evaluated.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Our purpose is not to tire the reader, but merely to outline brief notes on M&amp;A (Mergers and Acquisitions).
